These Terms of Use ("Terms") govern your access to and use of the TempBase platform, including TempBase.co.uk and any associated services ("the Platform"). They form a legally binding agreement between you and [COMPANY NAME] (company number [COMPANY NUMBER]), registered in England and Wales ("TempBase", "we", "us").

By registering an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

These Terms apply to all users: customers (brands and businesses seeking short-term space), agents (property professionals listing spaces), and brokers (intermediaries acting on behalf of customers or agents).

You must be at least 18 years old to use TempBase.

Agent and broker accounts are only available to businesses registered in the United Kingdom. You must provide a valid Companies House registration number during sign-up. Your account will not be fully activated until business verification is complete.

By registering, you confirm that the information you provide is accurate and up to date, and that you have the authority to bind any business you represent.

You are responsible for maintaining the confidentiality of your account credentials. Do not share your password or allow others to access your account.

You are responsible for all activity that takes place under your account. If you suspect unauthorised access, notify us immediately at info@tempbase.co.uk.

We reserve the right to suspend or terminate accounts that breach these Terms, engage in fraudulent or illegal activity, or are found to have provided false information during registration.

TempBase is a marketplace and facilitation platform. We provide the technology that enables customers, agents, and brokers to connect, negotiate, and document short-term commercial property agreements.

TempBase is not a party to any property agreement, lease, or contract concluded between users. We do not own, manage, or control any property listed on the Platform.

We do not provide legal, financial, or property advice. Nothing on the Platform constitutes such advice. If you need advice specific to your circumstances, you should consult a qualified professional.

Agents and brokers are solely responsible for the accuracy of their listings, the terms they offer, and their compliance with applicable law, including landlord and tenant legislation.

Agents may list properties on TempBase subject to these Terms. By publishing a listing, you confirm that:

— You have the authority to market the property for short-term let.

— The information in the listing is accurate, complete, and not misleading.

— The property complies with all applicable legal requirements for commercial occupation.

TempBase reserves the right to remove any listing that breaches these Terms, is found to be inaccurate, or is otherwise inappropriate, without notice.

Submitting an offer through TempBase constitutes a formal expression of interest in the terms stated. It does not create a binding agreement. A binding agreement is only formed when both parties have signed a contract through the Platform.

All offers, counter-offers, and messages exchanged through TempBase are logged and visible to both parties. Do not include information in messages that you would not want the other party to see.

TempBase does not guarantee that any negotiation will result in a concluded agreement.

TempBase provides digital contract generation for short-term commercial lets. Contracts are auto-populated from the terms agreed during negotiation and presented to both parties for digital signature.

Once signed by both parties, the contract is legally binding. TempBase stores a copy in each party's account.

TempBase is not responsible for the performance of any contract between users. Disputes arising from a contract are between the parties to that contract. TempBase may, at its discretion, review signed agreements in the event of a reported dispute, but is not obliged to do so and does not act as an arbitrator.

For complex or high-value agreements, you are encouraged to seek independent legal advice before signing.

Browsing, listing (on the free tier), and transacting on TempBase is free of charge.

Premium plans — TempBase Pro (for customers) and Agent+ (for agents) — are available on a monthly subscription basis. Prices are displayed on our Pricing page.

Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service. TempBase does not store your payment card details.

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — no partial refunds are issued.

TempBase reserves the right to change subscription pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

You must not use TempBase to:

— List properties you do not have authority to market.

— Submit false, misleading, or fraudulent offers or information.

— Circumvent the Platform to conduct transactions off-platform in order to avoid fees or obligations.

— Harass, threaten, or abuse other users.

— Introduce malware, viruses, or any code designed to disrupt the Platform.

— Scrape, copy, or reproduce Platform content for commercial purposes without our written consent.

— Use the Platform in any way that violates applicable UK law.

Breach of this clause may result in immediate account suspension and, where appropriate, referral to relevant authorities.

All content, design, software, and technology on TempBase is owned by or licensed to [COMPANY NAME]. You may not copy, distribute, modify, or create derivative works from any part of the Platform without our written permission.

By uploading content to TempBase (including listing photos, brochures, or floor plans), you grant us a non-exclusive, royalty-free licence to display and reproduce that content solely for the purpose of operating the Platform.

To the fullest extent permitted by law, TempBase shall not be liable for:

— Any loss or damage arising from a transaction, contract, or negotiation between users.

— Inaccuracies in property listings provided by agents.

— Loss of revenue, profit, or business opportunity resulting from use of the Platform.

— Interruption or unavailability of the Platform.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

Our total aggregate liability to you in connection with these Terms shall not exceed the greater of £100 or the total fees you have paid to us in the 12 months preceding the claim.

You may close your account at any time by contacting us at info@tempbase.co.uk or through your account settings.

We may suspend or terminate your account if you breach these Terms, if we are required to do so by law, or if we reasonably suspect fraudulent or harmful activity.

On termination, your access to the Platform ceases. We will retain data as required by our Privacy Policy and applicable law.

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify you by email or via a notice on the Platform at least 14 days before the change takes effect.

Continued use of TempBase after the effective date of a change constitutes your acceptance of the revised Terms.

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
